Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the BeaconIR platform, including any websites, applications, APIs, and related services (collectively, the "Services"). By creating an account or using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you lack such authority, or if you do not agree with these Terms, you must not access or use the Services.

The Platform is intended for business use by adults aged 18 years or older. By accessing or using the Services, you represent that you are at least 18 years of age. The Services are not directed at, and may not be used by, individuals under the age of 18. If we become aware that a user is under 18, we will terminate that account.

We reserve the right to update these Terms from time to time. Material changes will be communicated via email or a prominent notice in the admin panel. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Definitions

  • Platform — The BeaconIR web application, admin panel, APIs, and associated infrastructure.
  • IR Site — A hosted investor relations website generated and served by the Platform on behalf of a Customer.
  • Customer Content — Any data, text, files, images, press releases, filings, or other material uploaded or published by Customer through the Platform.
  • End Users — Investors, shareholders, and members of the public who visit a Customer's IR Site.
  • Subscription — A paid plan that grants access to Platform features for a recurring billing period (monthly or annual).
  • Press Distribution — An optional, per-release service that distributes Customer press releases to third-party newswire networks.
  • Verification Services — Identity verification (KYC) and company verification (KYB) processes required before activation of IR site publishing, performed by BeaconIR and its third-party verification partners.
  • Verification Data — Personal identification documents, corporate records, and other information submitted by an Authorized Officer in connection with Verification Services.
  • Authorized Officer — A natural person authorized to act on behalf of the Customer company for the purpose of identity verification and binding the Customer to these Terms.
  • Data Processing Addendum — A supplemental agreement governing BeaconIR's processing of personal data on behalf of Customer as a data processor, available upon written request to legal@beaconir.com.

Description of Services

BeaconIR provides infrastructure for investor relations communications, including:

  • Hosted IR website generation and serving via configurable templates
  • Press release publishing, newsroom management, and RSS feeds
  • SEC filing library with public access and compliance timestamps
  • Leadership profiles, governance documents, events, and presentations
  • Optional live stock price widget powered by Alpha Vantage
  • Investor email alert subscriptions (opt-in) triggered on content publish
  • Optional per-release press distribution to third-party newswire networks
  • AI visibility endpoints (llms.txt, /api/ai/summary, JSON-LD schema markup)
  • Analytics dashboard for IR site engagement
  • No-code admin panel for content management
  • Identity and company verification (KYC/KYB) prior to IR site activation

BeaconIR is an infrastructure provider. We do not provide investment advice, legal advice, or regulatory compliance consulting. Customer is solely responsible for the accuracy, legality, and compliance of all Customer Content published through the Platform.

Account Registration & Security

To access the Services, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

  • You must promptly notify us of any unauthorized use of your account or security breach at hello@beaconir.com.
  • We are not liable for losses caused by unauthorized access resulting from your failure to secure your credentials.
  • You may not share account access with individuals not authorized under your plan's team member limits.
  • You must not create accounts for the purpose of circumventing plan limits or access controls.

Verification Services

Before BeaconIR activates IR site publishing for any Customer, we require identity verification (KYC) of an Authorized Officer and company verification (KYB) of the Customer entity. These Verification Services are mandatory and non-waivable.

  • Verification is performed by BeaconIR and through third-party identity verification providers, currently Didit (didit.me). Verification Data submitted by the Authorized Officer will be processed by these providers in accordance with their respective privacy policies.
  • By submitting Verification Data, the Authorized Officer consents to the collection, transmission, and processing of personal identification documents and corporate records as required to complete verification.
  • Verification does not constitute a legal opinion, regulatory approval, or guarantee of compliance with any securities laws, stock exchange listing requirements, or applicable regulations.
  • BeaconIR reserves the right to re-verify any Customer at any time. If re-verification is requested and not completed within a reasonable time specified by BeaconIR, we may suspend access to IR site publishing features until verification is completed.
  • BeaconIR may decline or revoke verification at its sole discretion, including where we have reason to believe submitted information is inaccurate, fraudulent, or where continued verification would conflict with applicable law.
  • Verification Data is handled in accordance with our Privacy Policy. Retention of Verification Data is subject to applicable legal and regulatory requirements.

Subscription Plans & Billing

Access to the Platform requires a paid Subscription. Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected at checkout. Payment is processed via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until cancellation.

  • All fees are stated in USD and are exclusive of applicable taxes, which you are responsible for.
  • Annual plans are billed as a single charge for the full year. Annual payments are non-refundable except as provided in the Cancellation section.
  • Monthly plans are billed monthly. Unused days in a monthly period are not refunded upon cancellation.
  • We may change Subscription pricing with at least 30 days written notice. Price changes take effect at your next billing cycle.
  • Press Distribution fees are one-time charges per release, billed at the time of purchase, and are non-refundable once distribution has been initiated.
  • Failed payments may result in service suspension after a grace period. Reactivation requires payment of all outstanding amounts.

Customers may prepare a private workspace before public activation. A paid Subscription is required to activate and serve an IR Site publicly. BeaconIR will not make a Customer IR Site public until verification, publication review, and the required billing step are complete.

Cancellation, Termination & Data Retention

Cancellation by Customer. You may cancel your Subscription at any time from the admin panel. Cancellation takes effect at the end of the current billing period. Your IR Site and admin access remain available through the end of the paid period.

Termination by BeaconIR. We may suspend or terminate your account immediately and without notice if you: materially breach these Terms; fail to pay amounts due; use the Services for fraudulent, illegal, or abusive purposes; or publish content that violates these Terms. We will provide reasonable notice where feasible.

Effect of Termination. Upon termination or expiration of your Subscription, your IR Site will be taken offline and admin access will be revoked. We strongly recommend you download and retain copies of all Customer Content (press releases, filings, media) before termination, as we cannot guarantee their availability afterward.

Data Retention. Following account termination, we retain Customer Content for up to 30 days to allow for data recovery requests. After this period, Customer Content is deleted from our systems. Aggregated, anonymized usage data and billing records may be retained for longer periods as required by law or for legitimate business purposes.

Data Breach Notification. In the event of a security incident resulting in unauthorized access to or disclosure of Customer personal data, BeaconIR will notify affected Customers without undue delay and in accordance with applicable law. Where required by GDPR Article 33, we will notify the relevant supervisory authority within 72 hours of becoming aware of the breach. Notification to Customers will be made to the email address associated with the account and will include the nature of the incident, categories of data affected, and steps being taken to mitigate harm.

Service Availability

BeaconIR operates on best-effort availability. We target high availability for all hosted IR Sites but do not guarantee any specific uptime level, SLA, or uptime percentage. No service credits are provided for downtime.

Your IR Site and the admin panel may experience periods of unavailability due to:

  • Scheduled or emergency maintenance, which we will attempt to perform during low-traffic hours
  • Infrastructure issues affecting our hosting provider (Vercel) or upstream dependencies
  • Third-party service outages (Alpha Vantage stock data, Stripe payment processing, Didit identity verification, EmailIt transactional email, or press distribution networks)
  • Distributed denial-of-service attacks or other security incidents
  • Force majeure events beyond our reasonable control, including failures of key third-party infrastructure providers such as Vercel, Stripe, or Didit

We understand that IR sites serve investors and time-sensitive disclosures. We take availability seriously and will communicate proactively about planned maintenance or known incidents. However, Customers with strict uptime requirements — such as during active earnings periods, M&A announcements, or regulatory deadlines — should not rely solely on BeaconIR as their sole means of investor disclosure. We recommend maintaining backup disclosure channels where compliance obligations demand continuous availability.

Customer Content & Regulatory Compliance

Ownership. You retain all rights to Customer Content. By uploading or publishing Customer Content through the Platform, you grant BeaconIR a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and distribute such content solely as necessary to provide the Services.

Your Responsibility. You are solely responsible for all Customer Content published through the Platform, including its accuracy, completeness, and compliance with applicable laws and regulations. This includes, without limitation:

  • Securities laws and regulations, including SEC reporting obligations and disclosure requirements under the Securities Exchange Act of 1934
  • Rules governing forward-looking statements, material non-public information, and selective disclosure (Regulation FD)
  • FINRA rules applicable to press releases and investor communications
  • State and international securities regulations applicable to your jurisdiction and investor base
  • Canadian securities laws including CSA National Instruments, SEDAR+ filing requirements, and applicable IIROC/CIRO rules
  • UK Financial Conduct Authority (FCA) rules applicable to UK-listed companies and issuers with UK investor bases
  • EU Market Abuse Regulation (MAR, Regulation EU No 596/2014) applicable to EU-listed companies and issuers conducting investor communications in the EU
  • CASL (Canadian Anti-Spam Legislation) for commercial electronic messages sent to Canadian recipients, including investor alerts and press release notifications
  • Applicable copyright, trademark, and intellectual property laws
  • Defamation, privacy, and consumer protection laws

No Review. BeaconIR does not review, verify, or validate Customer Content for legal accuracy, regulatory compliance, or factual completeness before publication. We are not your legal counsel, compliance officer, or IR advisor. Customers operating as public companies or preparing for a public offering are strongly advised to have all IR content reviewed by qualified securities counsel before publication.

Data Processing

BeaconIR processes certain personal data on behalf of Customers in the course of providing the Services, including data submitted by Authorized Officers during verification and personal data of investors who subscribe to email alerts on an IR Site.

For Customers subject to the EU General Data Protection Regulation (GDPR) or Canadian personal information protection legislation including PIPEDA and applicable provincial equivalents, a Data Processing Addendum (DPA) is available upon written request to legal@beaconir.com. The DPA governs BeaconIR's processing of personal data on behalf of the Customer as a data processor under GDPR Article 28 and applicable Canadian data protection law.

By using the Services without requesting a DPA, Customer acknowledges that the standard terms of our Privacy Policy govern BeaconIR's data processing activities. Customers who require a DPA for compliance purposes should request one before processing any personal data of EU or Canadian individuals through the Platform.

Press Distribution Services

Press Distribution is an optional, per-release service that routes Customer press releases to third-party newswire networks. The following terms apply specifically to Press Distribution purchases:

  • Distribution is performed by third-party newswire partners. BeaconIR does not operate the distribution network and cannot guarantee placement in specific publications, websites, or media outlets.
  • Timing of distribution is not guaranteed. Distribution typically occurs within hours of purchase but may be delayed by third-party processing queues or network conditions.
  • Once distribution has been initiated, fees are non-refundable, including in cases of partial distribution, technical delays, or Customer errors in the submitted content.
  • You represent that all press releases submitted for distribution are factually accurate, comply with applicable securities laws, and do not contain material non-public information except where disclosure is required and properly conducted.
  • Distribution placements are provided for informational purposes. Pickup counts and specific placement lists are based on third-party reporting and may vary.
  • BeaconIR is not liable for the failure of any third-party publication to index, publish, or retain a distributed press release.

Press releases submitted for distribution must comply with our Acceptable Use Policy. We reserve the right to reject any submission that violates these Terms, contains unlawful content, or poses reputational risk to the distribution network, without obligation to refund fees already paid.

Stock Data Disclaimer

The stock price widget displayed on IR Sites is powered by Alpha Vantage and is provided for general informational purposes only. The following limitations apply:

  • Market data is refreshed on a daily basis via automated job and may be delayed, incomplete, or temporarily unavailable.
  • Data is provided by a third-party API provider and may contain errors. BeaconIR does not verify the accuracy of stock price data.
  • Stock data displayed on IR Sites should not be relied upon for investment decisions, trading activity, or regulatory compliance purposes.
  • In the event of stock data provider outages, the widget may display stale or no data. BeaconIR is not liable for data gaps or inaccuracies caused by upstream provider failures.

BeaconIR is not a financial data provider, broker-dealer, or investment adviser. Nothing on the Platform or any IR Site constitutes investment advice, a recommendation to buy or sell securities, or a solicitation of any investment.

Acceptable Use

You agree not to use the Services to:

  • Publish or distribute fraudulent, misleading, or materially false information about a company or its securities
  • Engage in market manipulation, pump-and-dump schemes, or any activity designed to artificially influence the price of securities
  • Publish material non-public information in violation of Regulation FD or other selective disclosure rules
  • Violate any applicable securities law, financial regulation, or stock exchange rule
  • Impersonate any person, entity, or company in investor communications or in any content published through the Platform
  • Use the Platform to create or operate unauthorized IR sites for companies without proper authorization from those companies
  • Violate CASL by sending commercial electronic messages to Canadian recipients without proper consent or in the absence of a valid unsubscribe mechanism
  • Use AI visibility features (llms.txt, AI summary endpoints, or JSON-LD schema) to generate or distribute misleading information about securities or a company's financial position
  • Upload malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to systems
  • Harvest personal data from IR Sites or use automated scrapers against the Platform without authorization
  • Attempt to gain unauthorized access to other Customers' accounts, content, or data
  • Resell or white-label the Platform to third parties without a written reseller agreement with BeaconIR
  • Use the Services in any way that violates applicable law or infringes the rights of any third party

Export Controls

The Services may not be used in violation of U.S. export control laws or regulations, including the Export Administration Regulations (EAR) administered by the U.S. Bureau of Industry and Security, or sanctions programs administered by the U.S. Office of Foreign Assets Control (OFAC).

By using the Services, Customer represents and warrants that: (a) neither Customer nor any of its users, directors, or officers is located in, or is a national or resident of, any country subject to a U.S. government embargo or designated as a "terrorist supporting" country; and (b) neither Customer nor any of its users is listed on any U.S. government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals list or the BIS Denied Persons List. Customer is responsible for ensuring that its use of the Services complies with all applicable export control and sanctions laws.

Intellectual Property

BeaconIR IP. The Platform, including all templates, UI components, software, algorithms, branding, and documentation, is owned by BeaconIR and its licensors. No license to BeaconIR IP is granted beyond the right to use the Services as described in these Terms.

Customer IP. You retain all ownership rights to Customer Content. You represent and warrant that you own or have the necessary rights to all Customer Content you upload to the Platform, and that such content does not infringe the intellectual property rights of any third party.

Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant BeaconIR a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.

Third-Party Services

The Platform integrates with third-party services to deliver its functionality. These services operate under their own terms and privacy policies, which we encourage you to review. Relevant third-party services include:

  • Stripe — payment processing and billing management
  • Vercel — cloud hosting and edge infrastructure for the Platform and all IR Sites
  • Alpha Vantage — market data API for stock price widgets
  • Didit (didit.me) — identity verification (KYC) and company verification (KYB) services for Authorized Officer verification
  • EmailIt — transactional email delivery for magic link authentication, billing notifications, and investor alert emails
  • Third-party newswire networks — press release distribution

BeaconIR is not responsible for the availability, accuracy, or practices of third-party services. Disruption or discontinuation of a third-party service may affect Platform functionality. We will make reasonable efforts to notify Customers of significant third-party service changes that materially affect the Services.

Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

BEACONIR DOES NOT WARRANT THAT:

  • The Services will meet your specific regulatory, compliance, or investor relations requirements
  • Press distribution will achieve specific placement, reach, or media pickup results
  • Stock data will be accurate, timely, or complete
  • The Services will be available at any given time without interruption
  • AI platforms will discover, index, or cite content from your IR Site regardless of AI visibility features enabled
  • Identity or company verification will satisfy the requirements of any specific regulator, exchange, or counterparty

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEACONIR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, BEACONIR SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM:

  • Downtime or unavailability of your IR Site during earnings announcements, regulatory filings, or other time-sensitive disclosures
  • Failure, delay, or error in press distribution by third-party newswire partners
  • Inaccurate, delayed, or missing stock data from third-party market data providers
  • Regulatory penalties, SEC enforcement actions, or investor claims arising from Customer Content
  • Loss of investor subscribers or email alert failures due to email delivery provider outages
  • Unauthorized access to Customer accounts resulting from compromised credentials
  • Delays, failures, or inaccuracies in identity or company verification performed by third-party verification providers

IN ALL CASES, BEACONIR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BEACONIR IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) FIVE HUNDRED US DOLLARS ($500). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.

THE LIABILITY CAP SET FORTH IN THIS SECTION SHALL SURVIVE TERMINATION OR EXPIRATION OF THESE TERMS AND SHALL APPLY TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY.

Indemnification

You agree to indemnify, defend, and hold harmless BeaconIR and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) Customer Content, including any claims by investors, regulators, or third parties based on the accuracy, legality, or content of your IR Site; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of the rights of any third party, including intellectual property rights; (d) your use of Press Distribution services, including claims arising from distributed press releases; or (e) any misrepresentation made in connection with the Verification Services, including inaccurate or fraudulent Verification Data submitted by an Authorized Officer.

CLASS ACTION WAIVER AND JURY TRIAL WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BEACONIR EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING AGAINST BEACONIR. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

IF A COURT FINDS THIS CLASS ACTION WAIVER UNENFORCEABLE FOR ANY REASON, THE ARBITRATION AGREEMENT IN THE GOVERNING LAW SECTION SHALL NOT APPLY TO THAT CLAIM, AND SUCH CLAIM SHALL PROCEED IN A COURT OF COMPETENT JURISDICTION. ALL OTHER CLAIMS SHALL REMAIN SUBJECT TO MANDATORY ARBITRATION.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered under the commercial arbitration rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Customers located outside the United States acknowledge that disputes will be resolved under Delaware law and AAA arbitration as described above. For Customers in the European Union or United Kingdom, nothing in these Terms is intended to limit or exclude any statutory rights that cannot be waived or excluded under applicable mandatory law, including applicable consumer protection and data protection rights. To the extent any provision of these Terms conflicts with non-waivable statutory rights under EU or UK law, those statutory rights shall prevail to the minimum extent necessary.

General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy and any applicable Data Processing Addendum, constitute the entire agreement between you and BeaconIR regarding the Services and supersede all prior agreements.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Failure by either party to enforce any provision of these Terms shall not constitute a waiver of the right to enforce such provision in the future.
  • Assignment. You may not assign these Terms or your account without our prior written consent. BeaconIR may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices. Legal notices to BeaconIR must be sent to legal@beaconir.com. Notices to you will be sent to the email address associated with your account.
  • Force Majeure. BeaconIR shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, internet outages, government actions, infrastructure failures, or the failure or unavailability of critical third-party providers including Vercel, Stripe, or Didit.
  • Survival. Sections relating to intellectual property, disclaimers of warranties, limitation of liability, indemnification, class action waiver, and governing law shall survive termination or expiration of these Terms.
